NACON ANNONCE EFFECTUER CE JOUR UNE DECLARATION DE CESSATION DES PAIEMENTS ET SOLLICITE L’OUVERTURE D’UNE PROCEDURE DE REDRESSEMENT JUDICIAIRE • Lesquin, le 25 février 2026, Nacon (la « Société »), société du groupe Bigben, sollicite l’ouverture d’une procédure de redressement judiciaire auprès du Tribunal de commerce de Lille Métropole (le « Tribunal »). • La suspension du cours de l’action de la Société sur le marché règlementé d’Euronext à Paris (code ISIN : FR001348791) est maintenue dans l’attente de la décision du Tribunal. Dans un secteur du jeu vidéo marqué par des cycles d’investissement longs et par de profondes mutations, le 20 février 2026, Nacon avait annoncé que la situation de son actionnaire majoritaire, la société Bigben Interactive, qui se trouvait, à la suite d’un refus inattendu et tardif de son pool bancaire, dans l’incapacité de procéder au remboursement partiel de son emprunt obligataire auprès de ses porteurs d’obligations, impactait de façon significative ses propres activités. La Société indiquait à cette occasion que sa situation de liquidité nécessitait la mise en œuvre rapide d’une restructuration financière auprès de ses créanciers afin de lui permettre d’assurer la continuité de son exploitation et qu’elle envisageait de recourir à des procédures destinées à faciliter la restructuration de son endettement sous l’égide du Tribunal. A ce jour, la Société fait état d’actifs disponibles ne lui permettant pas de faire face à son passif exigible. Dans ce contexte, la Société va, dès aujourd’hui, procéder à une déclaration de cessation des paiements auprès du Tribunal et solliciter l’ouverture d’une procédure de redressement judiciaire. L’objectif de cette procédure est d’évaluer toutes les solutions permettant, dans les meilleures conditions, de pérenniser l’activité de la Société, protéger les salariés et maintenir les emplois tout en renégociant avec ses créanciers dans le un cadre serein et apaisé. Cette procédure permettra à la Société de continuer son activité, renégocier ses créances et élaborer un plan de continuation crédible et efficace. Les instances représentatives du personnel ont été informées le 24 février 2026 de cette décision. Il appartiendra au Tribunal, lors d’une audience attendue au début du mois de mars, de statuer sur cette demande d’ouverture d’une procédure de redressement judiciaire Dans cette attente et compte tenu des incertitudes liées à l’issue de la procédure, la suspension du cours de l’action de la Société, annoncée le 20 février 2026, est maintenue. La Société informera le marché au fur et à mesure de l’évolution de la situation de la Société et de l’état d’avancement de la procédure. A propos de la procédure de redressement judiciaire

This sword can't hurt... it can only bless 🤲

It is a rapier with a keyring attachment decorated with gold plating and pearls. The background is a very soft light blue. The sword is very delicate, with an entire Fabergé egg inside another that opens as a guard, and a gold handle decorated with pearls. The whole thing is also reminiscent of a magical girl's weapon. (My favorite magical girl anime is Madoka Magica, and I used Sayaka as a model for the color palette.)
