These are the interesting fiduciary cases - especially since it often involves boards where the preferred have representation and appear to manage a sale that benefits them at the expense of the common (eg Trados)

They have a β€œliquidation preference.” They get their investment back first. If there is any money left over after they are paid, then the common can get something. If the value of the business is less than the entire preference due the preferreds, common gets nothing.

It’s all about the β€œpreference stack”. On a sale the preferred get paid first. Common is last to get paid. If the consideration isn’t enough, they get nothing. It happens.

Also, common stockholder sit at the very bottom of the preference stack. Preferred stockholders will get paid before the common stockholders. For VC backed firms that aren’t doing well, there is often no consideration left for common SH after the preferred get their cut. VC life…
