By not giving a fair value of the interim award, Tesla doesn't have to expense it unless Delaware's Supreme Court overturns the lower court's ruling (doubtful) or if Musk leaves by Q3 2027.

If not, the vested shares could trigger a tax event as they did in Q4 2021.

Tesla's Board says Musk needs this bonus to keep him at Tesla during this transition from an EV maker to an "AI, robotics, & other services" company. ๐Ÿคก

Why? He drove down Tesla's EBIT by 78% since 1H'22 due to his political antics, yet Tesla still has no AI to show for.

Tesla's 2025 Interim Award of ~$24BN for Musk is a joke & it's crafted in a way that skirts most accounting rules.

No other mega-cap company issues a $24BN award to its CEO without a fair value estimate. Even Tesla's 2018 grant had estimates & accrued for it each quarter.

France: 1,307 (-27% YoY)
Denmark: 336 (-52%)
Sweden: 163 (-86%)
Spain: 703 (+27)
Total: 2,509 (-40%)

This comes on top of news of Tesla's "Robotaxi" launch in San Francisco with human drivers.

Turns out last weekend's robotaxi "rollout" in the Bay Area was indeed fake.

Tesla leaked an internal memo to Business Insider last Thurs, sparking an option-fueled rally in $TSLA.

Musk is being properly restrained by California regulators, who are familiar with all his moves.

Last Friday's 3.5% rally in $TSLA saw huge call option buying.

A report on Tesla's robotaxi service starting in SF "this weekend" (which didn't happen) was the catalyst.

CA won't allow robotaxi tests without Level 4 autonomy. Tesla likely knew this.

Tesla uses the Investopedia definition of EBITDA which is Earnings Before Interest expense, Tax + D&A.

GM uses net interest income, which is better (Tesla's TTM interest income is 23% of pretax profit).

Both are lax & I prefer Operating Profit + D&A. Total net non-operating income should be cut.
