That "staking isn't an offer or sale of securities" and that a non-custodial wallet doesn't "affect transactions in securities for the accounts of others" are going to be really interesting arguments.

$COIN's defence includes: SEC having no authority; stating they don't trade any securities; and their non-custodial wallet is software not a broker.
