I think when owners and managers are different people, it's reasonable for the owners to have limited liability. When they are the same people, it's harder to justify - the partnership model seems more appropriate

Sort of, but you can let a company go bankrupt and walk away with minimal consequences; if you go personally bankrupt, lots of things get a lot more difficult. I know there can be consequences for directors of companies who are culpable for a company's fraud - but these are quite rare
